Privacy Policy

1. Commercial Clients Only

These Terms and Conditions apply strictly to business-to-business transactions. The Company does not contract with consumers or domestic clients. The Consumer Rights Act 2015 shall not apply.

2. Definitions

“Company” means Jalex Scotland Ltd. “Client” means any business, organisation, public body, or commercial entity. “Services” include construction, maintenance, reactive works, emergency call-outs, repairs, refurbishment, and associated activities.

3. Application of Terms

These Terms apply to all quotations, purchase orders, maintenance agreements, call-outs, and instructions unless expressly agreed otherwise in writing.

4. Quotations and Pricing

Quotations are valid for 30 days unless stated otherwise. All prices are exclusive of VAT. Reactive or emergency works may be charged on a time and materials basis.

5. Maintenance and Reactive Works

Maintenance and reactive works may be instructed verbally, electronically, or in writing. Response times are indicative only and not guaranteed. Emergency or make-safe works are temporary unless expressly confirmed as permanent repairs. The Company shall not be responsible for pre-existing defects or hidden faults uncovered during attendance.

6. Programme and Delays

Any dates provided are estimates only. The Company shall not be liable for delays caused by access issues, client instructions, weather, supply chain disruption, or third parties.

7. Client Responsibilities

The Client shall provide safe access, suitable site conditions, accurate information, and all necessary permissions and approvals.

8. Payment Terms and Late Charges

Invoices are payable within 14 days unless otherwise agreed. Late payments shall accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate, accruing daily. Statutory compensation and recovery costs may also be charged. Services may be suspended for non-payment.

9. Defects and Warranty

Services shall be carried out with reasonable skill and care. Defects must be notified within 14 days of completion. No warranty applies to temporary or emergency repairs.

10. Limitation of Liability

Nothing limits liability for death or personal injury caused by negligence. Otherwise, liability is limited to the contract value. The Company shall not be liable for indirect or consequential losses.

11. Termination

Either party may terminate for material breach not remedied within 14 days. The Company may terminate immediately for non-payment.

12. Governing Law and Jurisdiction

These Terms and any Contract shall be governed by the laws of Scotland. The Scottish courts shall have exclusive jurisdiction.
